 If the Non-Disposing Party elects to exercise it preemptive right, it shall notify the Disposing Party in writing (the “Acceptance Notice”) within thirty (30) days of the actual delivery of the Notice to the Non-Disposing Party that it intends to purchase whole of the interest to be transferred.
